1. About the Program

These Affiliate Program Terms ("Affiliate Terms") govern your participation in the Milano AI Affiliate Program ("Program") operated by Everywhere AI LTDA ("Company," "we," "us," or "our").

By enrolling in the Program, you agree to be bound by these Affiliate Terms, as well as our general Terms of Service and Privacy Policy.

2. Eligibility

To participate in the Program, you must:

• Be at least 18 years of age
• Have an active Milano AI account in good standing
• Provide accurate and complete information upon registration
• Comply with all applicable laws and regulations
• Not have been previously banned or removed from the Program

3. Commission Structure

We offer the following commission rates based on your affiliate tier:

• Regular Affiliate: 15% recurring commission on all referred customer transactions
• Preferred Partner: 15% recurring commission + 5% override on sales from recruited sub-affiliates (up to 23% total commissions)

Commissions are calculated on the net transaction value (excluding taxes and processing fees).

4. Tracking and Attribution

Our tracking system works as follows:

• Cookie Duration: 60 days from initial click
• Attribution Model: First-touch (first click)
• Recurring Commissions: You earn commissions on all renewals and future purchases from referred customers

5. Payments

Commission payment terms:

• Minimum Payout: $50 USD or R$250 BRL
• Payment Methods: PayPal or bank transfer (PIX for Brazil)
• Payment Frequency: Monthly, by the 15th of the following month
• Hold Period: Commissions are held pending for 30 days before becoming available for payout (for chargeback protection)

6. Promotion Guidelines

When promoting Milano AI, you must:

• Clearly disclose your affiliate relationship in all promotions
• Make accurate and non-misleading statements about our services
• Not use spam techniques or deceptive marketing methods
• Not bid on our brand name or brand terms in paid advertising
• Comply with FTC advertising guidelines and equivalent local regulations
• Not use unauthorized brand materials

7. Prohibited Activities

The following activities are strictly prohibited:

• Self-referrals or creating fraudulent accounts
• Cookie stuffing or other manipulation techniques
• Using unauthorized incentives to generate signups
• Negative or defamatory advertising of competitors
• Violating any applicable laws or regulations
• Any form of fraud or misrepresentation

8. Termination

We may terminate your participation in the Program at any time, for any reason, including:

• Violation of these Affiliate Terms
• Fraudulent or suspicious activity
• Extended inactivity (no referrals for 12 months)
• Discontinuation of the Program

Upon termination, pending commissions that meet the minimum payout will be paid within 30 days. Commissions below the minimum threshold will be forfeited.

9. Modifications

We reserve the right to modify these Affiliate Terms, commission rates, or any aspect of the Program at any time. We will notify you of material changes via email with 30 days advance notice when possible. Your continued participation constitutes acceptance of the modified terms.

10. Tax Responsibility

You are solely responsible for reporting and paying all applicable taxes on your affiliate commissions. We may request tax information and issue tax forms as required by law.
